At the end of the financial year, Cepheo Group had 457 employees and contractors spread across Denmark (200),Norway (112), Sweden (68) and Poland (77).
The acquisition of Axdata Denmark and Axdata Norway was completed in August 2023 and the companies were merged into Cepheo Denmark and Cepheo Norway subsequently and integration has continued in 2024.
Cepheo was awarded the Microsoft Partner of the Year award in Norway in 2024.
During this financial year, all companies in the Group have been moved to one common IT platform. The new IT platform has enabled Cepheo to optimize its business further both within each company and across the Group. All costs related to the investment in the new IT platform have been booked to the income statement this fiscal year.
The new finance system has provided better tools to manage our complex licenses subscription business. As described in more details under the Accounting Principles section, this has resulted in a correction of the booked licenses costs in 2024 related to past periods.
We have also made significant changes and investments in several business areas during the fiscal year, includingmoving a large part of the shared functions to a new Shared Service Center in Poland, moved 1st and 2nd line customer support to Poland, spin-off of the Infrastructure Managed Services business, and decentralized people from Group to the operating companies to have people closer to the customers. The changes have resulted in extraordinary restructuring costs, which have been booked to the income statement this financial year.
The revenue for the Group in the financial year is DKK 519,442k. The 2024 financial year is the first full 12 monthsperiod of operational activities. As the first financial year (2023) only had 9 months of operational activities, there are no comparable annual figures. However, the 9 months revenue growth compared to the same period last year is in line with expectations to deliver revenue growth in the range of 5-10%.
The net result is a loss of DKK 57,316k and is significantly below expectations. Main reasons are the establishment of the new IT platform and finance systems taking more effort and time than expected and the negative initial impact of the many change initiatives.
The net result after tax is positively impacted by the deferred tax asset, which management expects to utilize in the near future as results continue to improve. Management has identified key risks related to the deferred tax asset in the financial statement preparation and has prepared a sensitivity analysis to address the uncertainties. The Board has not established any separate formal committees (e.g., remuneration committee or audit committee) due to the size of the company. The Board regularly assesses whether such committees are required in order to ensure adequate focus on e.g. risk management.

The Code of Conduct and anti-corruption policy is intended to reinforce the values of the Cepheo Group to remain tied to service, commitment, reliability and honesty. It links these values to exceptional standards of professional conduct that are expected of all leaders, employees, business partners and suppliers. The Business relationships- and Employee Code of Conduct and anti-corruption policy specifies our standpoint of human rights, workplace responsibilities, as well as ethics and anticorruption. We have not identified any significant risks related to anti-corruption or bribery.

New employees are introduced to both Code of Conduct and anti-corruption as part of the onboarding process. Existing employees are obligated to complete the training once a year.

Environmental and climate
We have not identified any significant risks related to environmental matters, and therefore we have not developed a formalized stand-alone policy on the topic.

However, at Cepheo we strive to reduce the climate and environmental footprint of our business. We recognize that it is inevitable for our business to have an impact on climate and environment, but we are committed to mitigate these impacts to reduce our footprint on the climate and environment.

One of our strategic focus areas is a commitment through our solutions to help humans and technology work together to make industries more efficient and sustainable.

We are also committed to strive for reducing our footprint from our own operations.

Social
We have not identified any significant risks related to social matters. No breaches to employee code of conduct have been reported to the Group. At Cepheo, we treat each other with respect, and we are committed to supporting proper terms of employment and working conditions. We aim to attract employees with passion for their work and we believe in the power of diversity, inclusion, and support of each other’s development. We are committed to promote diversity in our organization and it is an integrated part of our management strategy.Employee code of conduct
To support our commitment to ethical business, we have a Code of Conduct that represents the foundation and the ethical values for the way that we wish to do business.

The employee code of conduct serves as a guidance for our employees on how they should conduct their day-to-day business. The purpose of the code of conduct is to ensure that all employees have a clear understanding of the principles and ethical values that Cepheo wants to live up to.

The Code of Conduct has been rolled out across the Cepheo Group and all employees must complete the annualmandatory training.
Governance
We have not identified any significant risks related to human rights. In our code of conduct we have described our principles for human rights.

We take action to prevent or mitigate actual or potential adverse impacts identified and track implementation. In instances where an adverse impact has occurred, we seek to provide access to remedy (for example apologies, restitution, rehabilitation, financial or non-financial compensation, etc.). In 2024, no incidents of human rights violations have been reported within the organization.

Business ethics policy
At Cepheo, we have a zero-tolerance policy against corruption and prohibit all corrupt practices throughout our business operations. We wish to conduct our business responsibly and according to what is morally and ethically right.
Business relationships code of conduct
Cepheo depends to a high degree on the performance of our business partners, consultants, suppliers, and sub suppliers. For that reason, Cepheo has developed a Business Relationships Code of Conduct. Whistleblower policy
Cepheo Group has implemented a whistleblower scheme that provides all employees, as well as members of both Executive Management and the Board of Directors, with an alternative reporting channel in addition to the regular reporting lines. The policy ensures that employees know how to act and whom to contact if they discover or suspect fraud, bribery or conduct that is in violation of the law or Cepheo Group’s internal rules and policies.

This policy relates to serious matters that may threaten Cepheo Group’s financial performance or reputation, such as fraud, bribery, extortion, misuse of internal information, violation of financial regulations, or similar issues.

The purpose of this policy is to complement the management system, enabling both leadership and employees to anonymously report on objectionable conditions, serious transgressions, or suspicions thereof within the Group. This is intended to be done without placing the whistleblower in an uncomfortable situation or jeopardising the whistleblower’s status within the organisation. At our homepage there is a link to our whistleblowing reporting channel.
Management StructureOur commitment to good corporate governance is anchored in our rules of procedure and management structure, specifically, our Board of Directors and Management teams. DiversityCepheo strives to promote an inclusive and diverse environment. A diverse composition of both management and staff can provide many benefits, including enhanced creativity, innovation, and problem-solving, which can help identify new opportunities and ensure future growth and performance. A starting point is to create equal opportunities for individuals of all ages, genders, nationalities, religions, ideologies, and skill sets. In 2024, womenmade up 32% of the management team. method.
This means that investments are measured at the pro rata share of the enterprises’ equity value plus
unamortised goodwill and plus or minus unrealised intra-group profits or losses. Reference is made to the above
section on
business combinations for more details about the accounting policies applied to acquisitions of
investments in
group enterprises.

Group enterprises with negative equity value are measured at DKK 0. Any receivables from these enterprises
are written down to net realisable value based on a specific assessment. If the Parent has a legal
or constructive
obligation to cover the liabilities of the relevant enterprise, and it is probable that such
obligation will involve a
loss, a provision is recognised that is measured at present value of the costs
necessary to settle the obligations at
the balance sheet date.

Upon distribution of profit or loss, net revaluation of investments in group enterprises is transferred to
the reserve for net revaluation according to the equity method in equity.

Goodwill is the difference between cost of investments and fair value of the pro rata share of assets and liabilities arising
from
acquisitions. Goodwill is amortised straight-line over its estimated useful life, which is fixed based on the

experience gained by Management for each business area. For one amount of goodwill, useful life has been determined based on an assessment of whether
the amount of goodwill includes intangible resources of a temporary nature that cannot be
separated and
recognised as separate assets. Useful lives are reassessed annually. The amortisation periods
used are 6 years.

Investments in group enterprises are written down to the lower of recoverable amount and carrying amount.

relating to recognition and measurement
Management considers the accounting estimates and judgements of the deferred tax asset to be significant in the preparation of the financial statement.
The key uncertainties in the measurement of these assets are outlined below:
Spin-off of non-strategic business area
Cepheo plans to spin off a non-strategic business area during 2025. Once the spin-off is completed, it will utilize most of the deferred tax asset in Denmark for 2025. The spin-off is expected to be concluded early Q4 2025. Moving forward, the spin-off will reduce annual revenue by DKK 28-31 million and EBITDA by DKK 9-10 million.
Revenue Growth
The group anticipates revenue growth in 2025 and the subsequent years with a CAGR of 6-7%, which correspondsto an average increase of DKK 50 million per year. Management considers this growth expectation conservative compared to the available market studies, which indicate a growth range of 12-15%.
If the CAGR varies by +1%/-1% from the target, it will impact the planned revenue by DKK 20-25 million per year on average, with a corresponding effect on EBITDA of approximately DKK 1.0-1.5 million.

Management segments the revenue into recurring and non-recurring, with the latter offering higher predictabilitydue to longer-term contracts and, consequently, a lower inherent risk.

Non-recurring revenue
The non-recurring revenue, which constitutes approximately 67% of the Group's total revenue, is derived from consulting hours invoiced to customers for projects and managed services. Management calculates non-recurring revenue based on the number of productive employees, the average rate-card, and the average billing hours per employee.

An assumed 6 percentage point improvement in billability is factored into the revenue and related cost calculations, which is expected to result in an improved EBITDA of DKK 30 million starting in 2025 and beyond. Additionally, transferring 14% more hours from the Nordic workforce to our capability center in Poland is anticipated to reduce costs and enhance billability, realizing an improved EBITDA of DKK 1.0-1.5 million from 2025onwards.

The primary uncertainties stem from our ability to achieve the planned billability targets and the market conditions affecting the average rate-card. Management has prepared the following sensitivity analysis to addressthese uncertainties:
- If the assumed 6 percentage point increase in billability varies by +1ppt/-1ppt, it will impact the planned revenueby DKK 5.0-5.5 million, with a corresponding impact on EBITDA of DKK 1.0-1.5 million.- If the average rate-card differs by +1%/-1% from expectations, it will affect the revenue by DKK 3.5-4.0 million, with a full impact on EBITDA.- If the expected hours transferred to Poland vary by +10%/-10% from the target, it will impact the planned EBITDA by DKK 0.1-0.3 million.A tight follow-up on billability and resource mix has been implemented in the management system to provide early warnings on deviations from estimates, enabling quicker adjustments to the plan.

Recurring Revenue
The recurring revenue consists of selling licenses and the fixed-price portion of managed services. Management has predicted a CAGR of 3-4%. A 1 percentage point change in the recurring growth rate will have an average yearly impact on revenue of DKK 6.0-7.0 million and a derived impact on EBITDA of DKK 0.5-1.0 million.
Reduction of general and administration (G&A) costs
Following the implementation of the new IT platform, G&A costs are anticipated to decrease by 1 percentage point relative to revenue annually from 2025 to 2027, resulting in average cost efficiency gains of DKK 14 million per year. Already, DKK 11 million of these savings have been realized in 2024. The remaining savings will stem from transferring additional back-office tasks to our Shared Service Center and automating administrative processes using the AI capabilities of the new IT platform. If the cost efficiency gains deviate by 0.25 percentage point from targets, the EBITDA impact will be +/- DKK 1.5 million.
All of the above mentioned will in 2025 increase revenue by DKK 47 million, EBITDA by DKK 49 million and providea profit before tax for the period 2025-2027 of DKK 35-40 million, that can utilize the remaining of the tax losses carried forward.

These assumptions are grounded in management’s informed estimates, taking into account both historical performance and projections of future market conditions. The implementation of the new IT platform has significantly enhanced management’s ability to receive early warnings about changes in the pipeline, which can affect the number of billable hours and the volume of projects entering the sales pipeline. Management is confident that the spin-off of the non-strategic business area will be completed in 2025. However, it's important to note that any deviations from these assumptions could substantially influence the carrying value of the deferred tax asset.
