In preparing the Financial Statements, Management is responsible for assessing the Company´s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting in preparing the Financial Statements unless Management either intends to liquidate the Company or to cease operations, or has no realistic alternative but to do so.</arr:StatementOfExecutiveAndSupervisoryBoardsResponsibilityForFinancialStatements>
</arr:StatementOfAuditorsResponsibilityForAuditAndAuditPerformed>
<arr:StatementOfAuditorsResponsibilityForAuditAndAuditPerformed contextRef="D0" xml:lang="en">Our objectives are to obtain reasonable assurance about whether the Financial Statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs and the additional requirements applicable in Denmark will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these Financial Statements. As part of an audit conducted in accordance with ISAs and the additional requirements applicable in Denmark, we exercise professional judgement and maintain professional scepticism throughout the audit. We also: Identify and assess the risks of material misstatement of the Financial Statements, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal control. Obtain an understanding of internal control relevant to the audit in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the Company´s internal control. Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures made by Management. Conclude on the appropriateness of Management’s use of the going concern basis of accounting in preparing the Financial Statements and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the Company´s ability to continue as a going concern. If we conclude that a material uncertainty exists, we are required to draw attention in our auditor’s report to the related disclosures in the Financial Statements or, if such disclosures are inadequate, to modify our opinion. Our conclusions are based on the audit evidence obtained up to the date of our auditor’s report. However, future events or conditions may cause the Company to cease to continue as a going concern. Evaluate the overall presentation, structure and contents of the Financial Statements, including the disclosures, and whether the Financial Statements represent the underlying transactions and events in a manner that gives a true and fair view. We communicate with those charged with governance regarding, among other matters, the planned scope and timing of the audit and significant audit findings, including any significant deficiencies in internal control that we identify during our audit. </arr:StatementOfAuditorsResponsibilityForAuditAndAuditPerformed>

Ordrebeholdningen rækker ind i 2027.

</mrv:StatementOfPolicyForDataEthics>
<mrv:ManagementsReview contextRef="D0" xml:lang="en">Primary activitiesOKNygaard's ambition is clear - we want to be the ones who create, landscape and maintain Denmark's green outdoor areas and urban spaces and we want to be recognized as Denmark's leading landscape gardener and climate contractor both locally and nationwide. In 2020 OKNygaard became part of idverde, Europe's largest landscape gardener group. It carries value creating importance, that the company now draws on skills and experiences from France, the UK, the Netherlands, Germany and Switzerland, and it provides our employees with new opportunities to train and develop across national borders. We have our head office in Aarhus and 10 branches throughout Denmark. This gives us the opportunity to work for both large nationwide and small local customers. During the high season, more than 600 landscape gardeners and climate specialists are ready to solve customers' tasks, no matter where in the country we are needed.OKNygaard performs all types of tasks in connection with landscaping, climate solutions, operation, care, maintenance of outdoor areas and winter service. The landscape gardening business is divided into two business areas: Landscaping and Operation, with associated deliveries within climate, local drainage of rainwater, sewerage, renovation, green care, outdoor Facility, as well as snow clearance and prevention of icy roads. The customers are private and public companies, housing associations, institutions as well as nationwide chain companies and organizations. All contracts are carried out in accordance with Styret Enterprise and Styret Drift, project management systems developed by OKNygaard with a strong focus on optimizing and ensuring ongoing follow-up on schedules and finances and systems that contribute to documented high quality and satisfaction among customers. The company culture is strong at OKNygaard and includes both customers and employees. We work purposefully with collaborative development and dialogue skills on projects together with our customers and in our own teams.Sustainable solutions and biodiversity are increased focus areas to us and we also experience that it holds increased importance to our customers and in the market. In 2021 “The Green Walk” was conceptualised and we also experience that the customers are increasingly demanding that we make plans for how to increase biodiversity in the customers’ areas. OKNygaard will continue to run a number of workshops and Master Classes on biodiversity, these have now become an established part of market cultivation in all parts of OKNygaard. Development in activities and financial affairsProfit for the year before tax amounts to DKK 5.134K, which is as expected and satisfactory seen in the light of the year which has been affected by increased inflation, rising fuel prices, integration costs in connection with joining idverde group and an increase in management fees of DKK 5.905K by using the support functions in idverde group. The turnover increased from DKK 640 million to DKK 673 million and is considered satisfactory, to a large extent it's driven by the landscaping business and its successful win of a number of larger projects to be completed in 2022 and the years to come. The year's results essentially follow the subgoals set, organisationally and system-wise, with focus on targeted process optimisation and streamlining. In terms of the results, 2022, was affected by OKNygaard’s Landscaping Business increasing its earning power for projects completed throughout the year. The business has focused on improvement initiatives within market and pricing strategy, economical project performance with better insight into project costs and optimising project execution by implementing our “front-loading” concept into all ongoing projects. The improvement initiatives have lead to increased stability in project execution as well as the projects’ economic results. The balance sheet shows an asset mass of DKK 348.370K. The equity ratio amounts to 18.5 including factoring debt and excluding factoring debt, the equity ratio amounts to 24.2%. The profit margin of 1.3 compared to 0.9 in 2021.OKNygaard’s ongoing goal is to maintain its position as the country’s leading landscape gardener and climate contractor. A position that gives the company a strong competitive starting point in the market and which in future will secure the position as the only nationwide landscape gardener and climate contractor that covers the entire value chain from landscaping and operation to the subsequent care and maintenance of outdoor areas. The goal is to be able to offer customers a total economic solution that covers the entire value chain. We experience an ever-increasing focus on and demand for climate solutions and OKNygaard is currently in a strong position in this market.Continued growth is expected in the area, which is why further investments and initiatives will be implemented with a goal - to achieve significant specialist competence in the area. The goal is to be able to offer solutions that include both landscaping and operation. In the operating area, investments are still being made in the conversion of the machine park to electrical operation, as well as in an increased use of robot solutions. OKNygaard’s large machine park has been readjusted over several years and now contains more than 1.000 handheld battery driven machines and almost 200 robotic lawnmowers. The conversion has resulted in a significant reduction in CO2 emission of over 90% as well as less vibrations, less noise and no fuel vapours benefiting the employees and the surroundings they work in. Furthermore, the fleet of vehicles consists of 55 cars with solar panels and 3 electric vans. The company continues to acquire special expertise in spray sowing and sees an increased market i.a. due to the desire for greater biodiversity and more bio-friendly areas. This market is still growing, as spray sowing is ideal for sowing in areas that are difficult to access, such as lopes, rainwater reservoirs, building sites or along roads and railways. When we at OKNygaard choose to conduct internal collaboration workshops during the start-up phase of our landscaping projects, it is because we know that good cooperation and streamlined production do not happen by themselves. We want to focus on the central perspectives concerning cooperation and production in the individual project, not only for the developer and project managers, but for all stages of our production. Many of our employees have extensive experience and special skills. We see this as a strength that we will bring into play, so that we achieve our landscaping projects as well as possible. Therefore, we continue to make targeted investments in management and employee resources through internal as well as external training supplemented with targeted recruitment of new skills. As a particularly longterm priority area, focus is maintained on developing and developing the company's relations with customers, suppliers and partners.OutlookExpectations for 2022 will be characterised by an increased focus on consolidation, profitability and synergies from the integration plan in the idverde group, including increased collaboration Grøn Vækst and Lauge Bonde, sister companies acquired by idverde Denmark in 2022.There is a solid order backlog, supplemented by a good start to the year, where winter activities have contributed positively. The order backlog reaches 2027. The total order volume amounts to approximately DKK 1,600,000K, of which approximately DKK 1,100,000K is for execution in 2023 and 2024.Market coverage and market shares achieved in recent years are maintained. The local presence ensures customers quick and direct access to the company and increases the security of efficiently executed quality work.In the operating and care markets, there is an increasing focus on biodiverse solutions and urban greening, which necessitates the development of new operating and care concepts. In 2021 OKNygaard launched the concept “The Green Walk”, an innovative employee initiative, to promote understanding of biodiversity combined with the creation of attractive landscaping. In 2022 we have experienced an increased market demand for the concept, resulting in that in future business “The Green Walk” will constitute a larger share of our total turnover from biodiverse solutions.OKNygaard has built up a nationwide winter contingency plan and in the end of 2020 initiated a conversion of the company's winter setup so that both new solutions and new types of agreements can be offered that match the very varying weather conditions. The conversion continued in 2022 including strengthening of route and performance optimizations of the larger and more complex winter contracts. In 2023/2024, as a final adjustment of the conversion we expect to implement a new winter system optimising the guard and route management.OKNygaard has successfully developed competence for total climate solutions in the landscaping market. The climate solutions are offered both as landscaping and operation or as total cost effective solutions that include both landscaping and subsequent operation. The company sees further opportunities in the market, which help to ensure continued positive development in activities and earnings. Uncertainty concerning recognition and measurementMeasurement of contract work in progress is based on accounting estimates made by management. The estimates are made in accordance with accounting policies and based on assumptions and experience that management considers realistic and responsible. Exceptional conditionsNo unusual circumstances have occurred during the financial year that have had an impact on the for the period profit or balance sheet for the period as of 31 December 2022. Financial risksThe company is not exposed to any special risks, including business and financial risks, other than general risks within the industry. The company maintains a strict focus on its business activities within the core competencies in Landscaping and Operations respectively, which means that activities that are outside the core competencies are excluded. In the case of new contacts, a consistent project review is conducted at each phase shift from sales to production and handover. The goal is ongoing risk hedging and project optimisation. The company takes out credit insurance for customers in accordance with established credit policy and focuses on liquidity management through efficient administrative processes and structured debtor debtor follow-up. Business modelFor further information about OKNygaard’s business model please refer to the description on page 1 - Primary activities. Subsequent eventsNo events of significant importance to the financial position of the company have occurred after the end of the financial year. Knowledge resourcesOn an ongoing basis OKNygaard invests further resources in personnel development and new technology to ensure the objectives within the area. The aim is to continuously be able to deliver high product quality and innovative solutions, it is crucial for the company to be able to recruit and retain employees with a high level of education before the landscape gardening industry and the areas of expertise that naturally form part of a company of OKNygaard's size. As part of the idverde, OKNygaard can now draw on skills and experience from France, England, Holland, Germany and Switzerland, and our employees will have new opportunities to train and develop across national borders. Our mantra is that we not only train for OKNygaard, but for the industry in general. That's why we are dedicated to making our students' time with us as good as possible. We take social responsibility and recruit widely, from students with mental or social challenges to students with the academic potential to participate in the Danish Championship in Skills. Our trainee policy supports the UN's Sustainable Development Goal no. 8, which is about reducing youth unemployment and getting young people into training. We believe that we must both form and train our students, and we believe that we can achieve this by having a trainee manager at each address and at the same time ensuring that each student has a mentor. In order to equip the trainee managers and mentors as well as possible, we have developed a two-day mentor course, which is supplemented by our trainee network, where our 60 trainees have the opportunity to meet one another, network, share knowledge and talk about being a trainee at OKNygaard. We work consciously with partnerships for action for several reasons: We are curious to know what other industries, professional groups and people think of what we are jointly concerned about. We know that we create better solutions when we involve other organisations in what we find exciting to focus on. We want to set the agenda for the green industry within the focus areas we have in the context of world goals. One of the partnerships we participate in is a close cooperation with Jordbrugets Uddannelsescenter (The Agricultural Training Centre) in Aarhus. Here, a Danish knowledge center with a focus on urban greening, citizen well-being and biodiversity is in the process of being established. The project was initiated in 2021 and is part of a 4-year EU development project financed by Erasmus+ with partners in the Czech Republic, Romania, Finland, Spain and the Netherlands. The project's clear goal is to focus on training in green development in the cities. This is done across the green profession, research and the landscape gardening profession. That is why Jordbrugets Uddannelsescenter Århus and Oknygaard are happy and proud to be part of the project.Another project OKNygaard has initiated in 2022 is a public-private cooperation with Region Midtjylland (Central Denmark Region). The participants are manufacturers, contractors, educational institutions, public authorities and industry organisations. The partnership has now initiated three specific projects all focusing on mapping and testing new methods to reduce the use of raw materials. One project focuses on inventing a method to examine the layers under different types surfaces which for several years have been carrying light traffic, for the purpose of examining the possibility of reusing, instead of discarding, the layersAnother project focuses on testing a new composite of raw materials used for parking areas, using fewer rough components like gravel and stone as the present shortage indicates high scarcity going forward. As part of the last project a test road is being established with the purpose of examining how few raw materials will suffice in the layers of a road. External environmentSustainable solutions are a must. As part of its efforts to strike a balance between the social and human aspects as well as the environmental and added-value aspects of its activities, the company's environmental policy has been intensified.OKNygaard's environmental policy is based on environmentally responsible operations and is a natural part of the company's goal of product quality and production conditions.OKNygaard is ISO 14001 certified and is dedicated to having as small an environmental and climate footprint as possible. The objective is to be one of the leading companies in the industry in relation to the environment and climate. As part of the environmental policy, the company always offers alternatives to pesticide solutions and advises customers on the most environmentally and climate-friendly solution. For a number of years, the company has worked with conversion to electrical operation and in 2022 expects to achieve a 95% conversion rate for all small machines. The overall goal is to reduce the CO2 footprint by 5% per year. Working environmentThe employees are crucial and constitute the company's most important resource. OKNygaard has ISO 45001 certification for Occupational Health & Safety Advisory Services and has a sustained focus on maintaining and expanding a good working environment. The Occupational Health & Safety Advisory Services certification is supplemented by the Danish Working Environment Authority's Executive Order no. 1191, which means that the company has published a green crown smiley. The occupational health and safety policy is based on:•Prevention rather than cure•Minimise the risk of injuries and accidents•Health and well-being•Development and trainingThe occupational health and safety committee is constantly working on improvements to the working environment and health promotion. Work that is supported by the company's online knowledge system, which via smartphones gives employees direct access to, among other things: machine guides, WPA for special tasks, chemical user instructions, registration certificates, the possibility of registering near accidents and an overview of the safety organisation. The overall goal is to maintain employee satisfaction of + 85%. In 2022 employee satisfaction was measured at 87% and in 2023 we will continue our work with maintaining a high level of employee satisfaction. Climate and environmentCars, machines and materials are the primary sources of OKNygaard’s CO2 emission.Traditional machines for green operation e.g. hedge trimmers, lawn mowers and leaf blowers run on diesel. Over several years OKNygaard’s large machine park has been readjusted and now contains more than 1.000 handheld battery driven machines and almost 200 robotic lawnmowers. The conversion to electric tools has resulted in a significant reduction in CO2 emission of over 90% as well as less vibrations, less noise and no fuel vapours benefiting the employees and the surroundings they work in.Fleet management is applied for machines and tools, hence, we have a precise overview of whether the different routes have the right electric tools to solve the present tasks. We can also create an exact plan for renewal of machines. By knowing exactly how many hours each machine has been operating for we can avoid untimely renewal and instead focus on machine maintenance. Both companies and public tenders have an increased demand for information about i.a. CO2 emission and actions to reduce this. With the support from idverde group OKNygaard is working extensively on developing and implementing a tool which can measure the CO2 footprint of each machine and illustrate the difference in impact between how electric and diesel run machines. The new tool is to help illustrate the specific climate footprint of different project and task descriptions. Anti corruptionOKNygaard has a zero tolerance policy against fraud and bribery. The company’s activities in Denmark are carried out in a business environment with a low level of corruption. The company has ethical guidelines contributing to reducing the risk of bribery within the organisation. All cases of fraud and bribery can be reported to any member of the company’s management for further action or via the company’s independent and third party managed whistleblower function. In 2022 there have not been any reports of incidents nor violations of our anti corruption policies. The largest business risk with regards to fraud and bribery is attributable to gifts and sponsoring contributions as well as invoicing. In 2022 the company’s management has completed an internal training programme on correct handling of situations where there is a risk of fraud and bribery. In the future we will also continue to ensure that our employees, newly appointed as well as experienced, are well informed and act according to OKNygaard’s Code of Conduct. Human rightsOKNygaard is aware of the risk of poor working conditions with collaborators when entering into project contracts. However, as the company is operating in Denmark the risks are considered minimal. Hence, we have chosen to prioritise the formulation of policies regarding our own employees, environment and climate as well as anti corruption as risks are estimated to be larger within these areas.OKNygaard’s Code of Conduct specifies that the company respects the international human rights which we comply with within all of OKNygaard and OKNygaards associated companies as well as in collaboration with customers, suppliers, subcontractors and all others who collaborates directly or indirectly with ideverde. In connection with the initiation of an employment relationship the employees receive the employee handbook including the Code of Conduct. We consider this a contribution to creating a shared framework for mutual understanding of the common working conditions amongst colleagues. In 2022 all new employees were introduced to our work with human rights guidelines through the employee handbook. We will continue our work in 2023 by ensuring sufficient insight into complying with human rights when we enter into agreements with new partners. In the future we will include more training for our employees in connection with personnel gatherings in course of the year ensuring the employees have achieved sufficient understanding of ethical behaviour. </mrv:ManagementsReview>

<mrv:StatementOfTargetFiguresAndPoliciesForTheUnderrepresentedGender contextRef="D0" xml:lang="en">Gender diversityTarget figures for the supreme management bodyOKNyggard wishes to establish both an ambitious and realistic objective to promote representation of both genders in leading positions. This is to ensure a broad perspective on development, management and strategy. All appointments, regardless of gender, will be based on the individual's qualifications and competencies. At present, the total number of board members is four and no women are represented. We will continue to aim to have at least one female board member represented by 2025, but at this point we have not found a potential candidate available and suitable to join the board.Policy to increase the share of the underrepresented gender at other management levelsOKNygaard wants to set an ambitious and realistic goal to promote representation of both genders in leading positions. Gender distribution on other management levels should, as a starting point, reflect the gender distribution throughout the company. Management comprises General Management (m), Business Area Operations (m), the Landscaping Business Area (m) and Staff and Support (W). The gender distribution thus comprises 20% women and 80% men 2022: 21% women and 79% men). The female representation is above average in the industry and it is a continued goal to apply for more managerial positions filled by female employees.OKNygaard is aware of the company's social obligations to contribute to the fulfilment of human rights, which includes employees being employed without discrimination in relation to gender, age, social or ethnic origin or disability. The basis for talent development, as well as hiring and dismissals, is solely based on the candidates' professional qualifications and experience. </mrv:StatementOfTargetFiguresAndPoliciesForTheUnderrepresentedGender>
<mrv:StatementOfPolicyForDataEthics contextRef="D0" xml:lang="en">Data ethicsAs part of OKNygaard integration into idverde group the Board of Directors has reviewed the company’s data handling, data storage, cyber security and data ethical level. OKNygaard make efforts to be transparent about the data we use by documenting how we retrieve data, why we collect data, how we process data, where a risk of ethical considerations are relevant. Clear and transparent data administration policies for systems using data is a key element in ethical behaviour. OKNygaard is obliged to uphold protection of data at levels comparable to the best in the industry, and as a minimum comply with current legislation and contractual obligations. In 2021 it was determined that our data policy, as in previous years, comprising a section in the employee handbook is sufficient. With an increased focus on cyber security and mail fraud we have implemented an action plan in 2022 to ensure an increased cohesion between the various focus areas and result in an updated GDPR policy with associated guidelines, which will also result in a cyber security policy. At the turn of the year 2022/23, data ethics will be included in OKNygaard's overall Governance. </mrv:StatementOfPolicyForDataEthics>
