We must ensure that Marel hasa diverse and truly inclusive culture. With this in mind, we have set targets for achieving a better-balanced gender representation across managerial levels and included targets to that effect in oursustainability program. We understand the value of reflecting the markets and communities we serve across all dimensions– whether that is servicing our customers in their local languages, listening to the needs of our endconsumers, moving towards fully local management teams in the regions or hiring and developingmore diverse talent in technical roles. The Company’s employees, prospective employees, con-tractors, consultants, suppliers, and customers must be treated equally and should not be discrim-inated against on the grounds of age, race or ethnicity, nationality, or on any other aspect. We want to lead by example and have already taken steps towards this with a well gender-balancedboard and executive team. We are also committed to ensuring the right diversity and set of com-petences at all managerial levels to meet future challenges. We hope to be part of moving ourindustry towards more diversity and more inclusivity going forward, and feel very proud that bothour Board and Executive team are in the optimal gender balance within the 40-60% ratio. In 2021, the Company introduced a new Global Diversity and Inclusion Policy with additionalfocus on inclusion and accountability. To embed D&I in our culture, it was decided to do morethan offer simple training. Instead, almost 40 employees from all around the globe stepped forwardand became D&I champions and completed a two-day workshop. We now have the foundation toimplement and follow through with D&I initiatives supported by a diverse group of enthusiasticliaisons. In 2023 we continued to host diversity and inclusion webinars in 12 languages for all employees. These interactive sessions were led by Marel employees and have now been completed by 59% ofemployees generating positive feedback.Policy for the gender quota in the Board of DirectorsUnder section 99b of the Danish Financial Statement Act, the Board of Directors of Marel A/S haslaid down the Company's policy to increase the share of the underrepresented gender in the Com-pany's Management in general.Policies and goals for the underrepresented genderPolicy for the gender quota in the Board of DirectorsThe Board of Directors of Marel A/S consists of three men. As this is not compliant with theDanish Business Authority’s recommendations.Marel A/S has not succeeded in promoting a woman for the position during 2023, as no qualifiedfemale representative could be found on short notice. We do not want to create instability in the management of the company by just substituting amale with a female without any other reason. But if the need for changes occurs during 2024, wewill strive to find a female candidate.Policy for other management levelsMarel A/S wishes that the gender quota of society between men and women is reflected in theCompany's management level. Through this policy, the Company will create an equal distributionof sexes at management level.Policy for other management levels:In 2023 we have obtained equal representation of the sexes, and therefore we are not obliged toset further targets.2023Top management bodyTotal number of members 3The % of underrepresented gender0 %The target in % for the underrepresented gender 33 %The year of fulfillment of the target2025Other management levelsTotal number of members2The % of underrepresented gender 50 %The target in % for the underrepresented gender50%Managers of the Company should be elected / employed based on their overall qualifications, andit is essential that the managers have the right qualifications, irrespective of their sex. The Boardof Directors, however, acknowledges the advantages of a broad-based management at all levelstaking into consideration experience, specialised knowledge, culture and sex, etc.Goals and policies for the underrepresented genderMarel A/S is in a line of business, which has a predominance of male employees. The presentmanagement team (3. Management layer) comprises eight persons of which on one is female. In the management team, we seek diversity in line with Group policy. Marel A/S aims to obtainequality between co-workers, and finds that the positions in the management team are equallysuitable for both men and women. However we do not have frequently changes in the managementgroup. In case a manager leaves, Marel A/S will strive to get a more diverse management team, as wewant to improve the gender balance for the future, as well as making a systematic effort to givethe employees a good work life balance. The measures initiated have not yet had any changes in the gender quota of the 3. managementlayer during 2023, as no replacements has taken place.OutlookThe continued geopolitical tensions, especially in Europe is still causing uncertainty. The companyhas a balanced exposure to global economies and local markets through its global reach, innovativeproduct portfolio and diversified business mix. Indeed, our business model has proved to be resil-ient during times of turbulence. Our global reach and years of investment in innovation and digitalsolutions have proved to be key differentiating factors for the Company. These will enable us topush forward and help us navigate geopolitical tensions in the long run. That path is of course oneof discovery to some extent, with inherent challenges and learnings, but one that team Marel willmanage with its characteristic determination. In 2024 we are moving our Central Warehouse function to Holland where we are centralizing allspare part handling for our European production sites. Therefore, we expect a drop in revenue ofapp. EUR 75 million per year when fully implemented but expect to be compensated for the lostmargins through our Transfer Pricing setup. We also expect to recover the margin level on equipment and therefore we expect EBIT betweenEUR 4 – 8 million. These expectations are subject to uncertainties due the increased geopoliticaltensions mentioned above.</mrv:StatementOfTargetFiguresAndPoliciesForTheUnderrepresentedGender>

Capitalised development projects are measured at cost lessaccumulated amortisation or at recoverable amount if the latter is lower. Capitaliseddevelopment projects are amortised on a straight-line basis of the estimated useful lives aftercompletion of the development project. The amortisation period is usually five years.Goodwill is measured at cost less accumulated amortisation and impairment losses.Goodwill is amortized on a straight-line basis over the remaining life.Amortisation is provided on a straight-line basis over the expected useful lives of the assets. The expected useful lives are as follows:Goodwill 10yearsSoftware 3 - 5yearsProperty, plant and equipmentLand and buildings, plant and machinery, fixtures and fittings, as well as other plant andequipment are measured at cost less accumulated depreciation. Land is not depreciated. The basis of depreciation is cost less expected residual value at the end of the useful life.Cost comprises the purchase price and any costs directly attributable to the acquisition until thedate when the asset is available for use.Where individual components of an item of property, plant and equipment have different usefullives, they are accounted for as separate items, which are depreciated separately. The basis ofdepreciation is cost less any projected residual value after the end of the useful life.Depreciation is provided on a straight-line basis over the estimated useful lifeDepreciation is provided on a straight-line basis over the expected useful lives of the assets. The expected useful lives are as follows:Buildings 20 - 55yearsPlant and machinery3 - 10yearsFixtures, fittings and other equipment 4 - 6yearsThe useful life and residual value are reassessed annually. Changes are treated as accountingestimates, and the effect on depreciation is recognised prospectively.Gains and losses on the disposal of property, plant and equipment are determined as thedifference between the selling price less selling costs and the carrying amount at the date ofdisposal. Gains or losses are recognised in the income statement as other operating income oroperating costs.Leased assetsOn initial recognition, leases for fixed assets that transfer substantially all risks and rewardsincident to ownership to the Company (finance leases) are recognised in the balance sheet atthe lower of fair value and the net present value of future lease payments. When the net presentvalue is calculated, the interest rate implicit in the lease or the incremental borrowing rate isused as the discount factor. Assets held under finance leases are subsequently depreciated asthe Company's other fixed assets.Leased assetsThe capitalised residual lease obligation is recognised in the balance sheet as a liability, and theinterest element of the lease payment is recognised in the income statement over the term of thelease.Short term leases and leases of low-value assetsShort term leases that have a lease term of 12 month or less and leases of low-value assets arenot recognised as right of use assets and lease liability and the lease payments associated withthese leases are expensed as a straight line base over the lease term. The Company's obligation relating to these leases is disclosed in contingent liabilities.Equity investmentsEquity investments in subsidiaries are recognised in the balance sheet at cost. Write-down ismade to the lower of cost and recoverable amount.Cost is reduced by dividends received that exceed accumulated earnings after the date ofacquisition. For subsidiaries where the parent company has a legal or constructive obligation to cover thedeficit equity investments are written down corresponding to the parent company's share ofnegative equity. Any receivable from these enterprises is written down by the parent company'sshare of the negative net asset value. If the net asset value exceeds the amount owed, theresidual amount is recognised under provisions.Impairment of non-current assetsThe carrying amount of intangible assets and property, plant and equipment as well asinvestments in subsidiaries is subject to an annual test for indications of impairment other thanthe decrease in value reflected by depreciation or amortisation.Impairment tests of individual assets or groups of assets are conducted when there is anindication that they may be impaired. Write-down is made to the recoverable amount if this islower than the carrying amount. The recoverable amount is the higher of an asset's net selling price and its value in use. Thevalue in use is determined as the present value of the anticipated net cash flows from the use ofthe asset or group of assets.Previously recognised write-downs are reversed when the basis for the write-down no longerexists. Write-down of goodwill is not reversed.InventoriesInventories are measured at cost in accordance with the average cost formula. Where the netrealisable value is lower than cost, inventories are written down to this lower value.Goods for resale and raw materials and consumables are measured at cost, comprising purchaseprice plus delivery costs.Finished goods and work in progress are measured at cost, comprising the cost of rawmaterials, consumables, direct wages and salaries as well as direct and indirect productionoverheads. The net realisable value of inventories is calculated as the sales amount less costs ofcompletion and costs necessary to make the sale and is determined taking into accountmarketability, obsolescence and development in expected sales price.ReceivablesReceivables are measured at amortised cost.Write-down is made for bad debt losses where there is an objective indication that a receivableor a receivable portfolio has been impaired. If there is objective evidence that an individualreceivable has been impaired, write-down is made on an individual basis.Receivables with no objective indication of individual impairment are assessed for objectiveindication of impairment on a portfolio basis. The portfolios are primarily composed on thebasis of the country of domicile and credit ratings of the debtors in accordance with the creditrisk management policy of the Company. The objective indicators used in relation to portfoliosare determined based on historical loss experience.Write-downs are calculated as the difference between the carrying amount of the receivablesand the present value of the expected cash flows, including the realisable value of any collateralreceived. The effective interest rate for the individual receivable or portfolio is used as discountrate.Contract work in progressContract work in progress is measured at the selling price of the work performed. The sellingprice is measured by reference to the stage of completion at the balance sheet date and totalexpected income from the work. The degree of completion is computed as the proportionbetween resources spent and total estimated resources for the completion of the contract. Whenit is probable that contract work in progress will result in losses, the estimated loss isrecognised in the income statement. When the selling price of contract work in progress cannot be measured reliably, the contractwork in progress is measured at the lower of costs incurred and net realisable value. The individual work in progress is recognised in the balance sheet as receivables or payablesdepending on the net value of the sales amount less on-account invoicing and prepayments.Selling costs and costs incurred in securing contracts are recognised in the income statement asincurred.PrepaymentsPrepayments comprise costs incurred concerning subsequent financial years, such as officerent, insurance premiums and licences.EquityDividends:The expected dividend payment for the year is disclosed as a separate item under equity.Reserve for development costs:The reserve for development costs comprises capitalised development costs. The reservecannot be used for dividend, distribution or to cover losses. If the recognised development costsare sold or in other ways excluded from the Company's operations, the reserve will bedissolved and transferred directly to the distributable reserves under equity. If the recogniseddevelopment costs are written down, the part of the reserve corresponding to the write-down ofthe developments costs will be reversed. If a write-down of development costs is subsequentlyreversed, the reserve will be re-established. The reserve is reduced by amortisation ofcapitalised development costs on an ongoing basis.Corporation tax and deferred taxCurrent tax payable and receivable is recognised in the balance sheet as tax computed on thetaxable income for the year, adjusted for tax on the taxable income of prior years and for taxpaid on account.Deferred tax is measured using the balance sheet liability method on all temporary differencesbetween the carrying amount and the tax value of assets and liabilities. Where alternative taxrules can be applied to determine the tax base, e.g. regarding shares, deferred tax is measuredbased on the planned use of the asset or settlement of the liability, respectively.Deferred tax assets, including the tax value of tax loss carryforwards, are measured at theexpected value of their realisation; either as a set-off against tax on future income or as a set-off against deferred tax liabilities in the same legal tax entity. Any deferred net assets aremeasured at net realisable values.Deferred tax is measured according to the tax rules and at the tax rates applicable at the balancesheet date when the deferred tax is expected to crystallise as current tax. Changes in deferredtax due to changes in tax rates are recognised in the income statement. The Company is jointly taxed with other Danish subsidiaries and affiliated companies. CurrentDanish corporation tax is settled by the parent company, which is the administrative company, and allocated between the jointly taxed companies in proportion to their taxable income.ProvisionsProvisions comprise expected costs of warranties, losses on work in progress, restructurings, etc.Liabilities other than provisionsFinancial liabilities comprising amounts owed to credit institutions, trade payables andpayables to group enterprises are recognised at the date of borrowing at cost, corresponding tothe proceeds received less transaction costs paid. In subsequent periods, financial liabilities aremeasured at amortised cost.Financial liabilities also include the capitalised residual obligation on finance leases.Other liabilities are measured at net realisable value.Segment informationSegment information is provided on business segments and geographical markets.
