The pre-tax profit (EBT) amounted to TDKK 24,605 compared to TDKK 44,556 last year.The rather sudden and sharp slowdown in end-customer investments back in the July quarter of 2023 continued almost unchanged throughout the 2024-25 financial year. Farmers’ settlement prices have remained at a historically acceptable level throughout the period, but their profit margins, which were already low, have been eroded by rising costs for mineral fertiliser, energy, labour, machinery purchases and increasing interest rates. Additionally, cheap Ukrainian agricultural products were freely exported and distributed to many countries within the EU, making it diﬃcult or impossible for EU farmers to pass on their rising costs through higher settlement prices.The investment slowdown varied across customer segments and countries. For the customer segment agricultural contractors, which primarily purchase SAMSON machinery, the decline in investments has been limited. For the customer segment farmers, who primarily buy PICHON machinery, the decline in investments has been significant.The slowdown also varied across countries. In Scandinavia and Northern Germany, the decline in investments has been limited. In the rest of Germany and France, there has been a significant decline, and in Eastern Europe, the decline in investments has been historically large.Across brands and markets, the Group’s turnover in 2024-25 decreased by just over 1% compared to the previous year. This is considerably less than the declines experienced by machinery segments such as tractors, combines, seeders and tillage implements etc. The limited decrease of just over 1% in the Group’s turnover should be seen in light of the environmental and climate agenda which, despite the war in Ukraine and the stagnant EU economy, continues to lead to increasingly strict fertiliser legislation.The declining turnover has resulted in adjustments to the Group’s production capacity. This applies to Samson Agro SASU (FR), Samson Agro Spzoo (PL) and Samson Agro A/S (DK).The Group’s commercial companies Samson Agrolize A/S (DK) and Samson Agrolize AB (SE) have avoided the crisis as these markets are dominated by agricultural contractors.Despite the current crisis in the industry, we have maintained our investment plans, prioritising the development of new products and the completion of the 6,000 m2 factory expansion at Samson Agro A/S. Despite the continued diﬃcult market conditions described above, the management finds the year’s result less than acceptable. Despite the crisis, the ambition remains unchanged: To consolidate SAMSON GROUP A/S as Europe’s leading manufacturer of machinery and equipment for the application of natural fertiliser through organic growth and acquisitions.In its most recent annual report, the Group expected a pre-tax profit in the range of TDKK 45,000-55,000. This profit was not achieved due to the circumstances described above. Expected developmentAgriculture, and in particular the animal branch, will continue to undergo transformation in the coming years to meet the climate and geopolitical objectives being implemented. The EU’s Common Agricultural Policy (CAP) provides a degree of security for farmers and supports the transition of the sector towards greater sustainability. However, there are considerable diﬀerences in the understanding and implementation of the climate goals among the individual EU member states. Investment willingness across products and geographic regions is historically low. In the coming financial year, PICHON and SAMSON will continue to be aﬀected by the recession, but we can only guess at the extent of the recession at this time. Sustainability and precision agriculture are recurring themes for a significant portion of customers of the SAMSON brand in particular. An increasing number of agricultural contractors and large livestock producers are demanding advanced machinery and equipment. The SAMSON brand expects to maintain a good competitive position in a market that is anticipated to continue to decline in the 2025-26 financial year.The PICHON brand, which primarily targets small and medium-sized livestock producers, is expected to face greater competitive pressure in 2025-26 than the SAMSON brand. This is due to lower investment among PICHON’s main customer groups and stronger competition among machinery manufacturers. Furthermore, the strong market position of the PICHON brand in primarily Poland, the Czech Republic and Slovakia is under volume pressure as a result of the eﬀects of the war in Ukraine. For the 2025-26 financial year, management expects the group profit before tax (EBT) to be in the range of TDKK 5,000-15,000.▲In 2024, SAMSON initiated construction of a new factory building, which is expected to be operational at the begin-ning of 2025.e factory will, among other things, house the production of TSB booms, for which high demand is expected across all of our markets. At the beginning of September this year, we proudly showcased the construction as we celebrated the topping-out ceremony.Particular risksManagement assesses that the company is not currently aﬀected by any particular risks beyond those normally encountered in the industry. The company’s policy on managing credit risks means that all customers are rated.Research and developmentInvesting in the future through product development is a high priority and a fundamental part of the entire SAMSON GROUP business concept.A central part of the Group’s activities is to lead in the development, production and marketing of slurry tankers, injectors, drip hose booms and solid fertiliser spreaders for the environmentally responsible application of natural fertiliser to fields. Agronomy (the science of agriculture) is a core area of the group that forms the basis for understanding value creation for the end user and the design of the products.To ensure the highest level of professionalism and to ensure that the Group actively contributes to the green transition, the companies participate in several publicly supported research and development projects involving universities from Denmark as well as from abroad.In the 2024-25 financial year, SAMSON AGRO A/S has participated in the GUDP development project “Methods for reducing ammonia loss and increasing methane yield from biogas slurry (MAG)” under the project management of Aarhus University. The project focuses on creating new knowledge about the factors in the biogas process that aﬀect ammonia emissions as well as developing technologies that both increase gas production and reduce ammonia emissions during surface application to fields. In this project, SAMSON AGRO A/S has contributed knowledge and resources to the development of low-emission application techniques that reduce NH3 emissions by reducing the contact surface and time between slurry and air.Together with the Danish Agriculture and Food Council, SEGES and Innovation Fund Denmark, SAMSON AGRO A/S has also participated in the research project LOWHIGH (“Low emissions and high energy production in manure handling chains”), which aims, on one hand, to reduce ammonia and greenhouse gas emissions from the handling of natural fertiliser and, on the other hand, to increase energy production in biogas plants. This focuses on the entire process from handling natural fertiliser in the barn, storage tanks, biogas plants and application to the field. SAMSON AGRO A/S has contributed to this project by providing solid manure spreading technology for testing and development.SAMSON AGRO A/S has also begun work on GIGA (Maximum climate and fertiliser eﬀect of degassed biomass), which will support the green transition of agriculture. The goal of the project is to provide the necessary solutions that ensure that biogas plants will provide future climate, environmental and fertilisation benefits in agriculture.Being a project participant, SAMSON AGRO A/S will assist in developing a new type of injector, which will be used for testing selected degassed products. The concept is developed based on the hypothesis that a more strategic placement of slurry in the soil can maintain low ammonia evaporation without resulting in increased emissions of nitrous oxide.In one or more trial stages, the test injector from SAMSON AGRO A/S will be used, and its eﬀect on nitrous oxide emissions and nitrogen utilisation will be compared with traditional incorporation.The design of the new injector will be developed in close collaboration with Aarhus University and SEGES. The Group is well advanced in implementing new requirements for production and quality assurance, and new technical documentation has been prepared for slurry tankers and solid fertiliser spreaders.Knowledge resourcesSkilled employees with a high level of knowledge are central to the Group and represent a very valuable asset. The employees’ work is vital to achieving the goal of continued development of an eﬃcient company. Therefore, the Group aims to attract and retain employees who can and want to work in a focused and business-oriented company with a high professional standard and to ensure that the knowledge on which the company is based continuously develops and is firmly anchored internally.The SAMSON and PICHON brands are both developed and manufactured locally, close to their primary markets. In key positions within the product development departments located in Denmark and France, there is strong product and industry knowledge and experience, which is crucial to the success of SAMSON GROUP. The development staﬀ possess not only extensive theoretical mechanical knowledge but also in-depth practical experience with field application tasks and agronomy. They understand how precise application and handling of slurry and solid fertiliser are essential for optimal and eﬃcient nutrient utilisation. There is great diversity among the staﬀ in the development departments; a mix of highly experienced employees with many years of seniority combined with younger staﬀ form a resource of great value and are essential for the Group to oﬀer the right products to meet the core needs of customer groups. Students from relevant educational programmes are continuously undertaking internships, allowing the Group to contribute to training qualified workers for the industry, receive the latest knowledge from universities and establish itself as a recognised workplace among the right students. Furthermore, the Group exchanges student interns across companies to provide them with a comprehensive experience of working in an international company. Production is carried out by skilled workers specialising in machining, cutting work, welding and assembly of mechanical components, hydraulic systems and electronics. In some of the Group’s companies, a high average age among skilled workers has been observed, which is why initiatives in employer branding targeting these employee groups will be launched.SAMSON GROUP aims to remain a good and attractive workplace in the future, capable of developing talent and maintaining the knowledge resources continuously built up within the Group. All employees, regardless of position, have the right to be treated with respect, and a framework has been established for their ongoing development in their roles. All SAMSON GROUP employees are guaranteed employment under orderly conditions with a contract of employment, ensuring that as a minimum, the terms comply with the legislation and the general collective agreements of each country. The number of employees employed under collective agreements for the financial year is 379, corresponding to 67%.Employees must be guaranteed a working environment that is both physically and mentally healthy and safe. SAMSON GROUP maintains ongoing focus on extraction technology at all factories where environmentally harmful elements such as smoke and gases are produced during manufacturing. This specifically concerns welding fumes and ozone emissions from laser cutters, printers, lathes and milling machines. All extraction occurs through filters that purify environmentally harmful gases and particles before the cleaned air is released into the atmosphere. In recent years, SAMSON GROUP has upgraded technology at its French and Polish factories, resulting in increased employee comfort and a reduced climate footprint; the current focus is on maintaining this investment along with general ergonomics and safety in production tasks. SAMSON GROUP has taken on a societal and social responsibility in educating young people. Within the Group, there is an apprenticeship programme for workers, traineeships in administration and oﬀers of internships and project collaborations for students in higher education as well as work experience periods for pupils in grades 6 to 9. During the financial year, the Group has started and/or completed apprenticeship and trainee courses for warehouse and logistics operators, industrial technicians and metal workers.When students and work experience pupils are placed in the Group’s companies, the human and social dimensions are given high priority to ensure they are ready for employment after completing their training. It is, among other things, an integral part of the company’s policy to broadly introduce students and work experience pupils within the organisation so that they develop a strong sense of belonging beyond the professional aspect on equal terms with permanent employees.SAMSON GROUP also supports and participates in local employment and development projects.SAMSON AGRO A/S and SAMSON AGROLIZE A/S collaborate with job centres on programmes for developing work ability and with the institution “Trepas” in Viborg Municipality, which provides employment and educational support to individuals outside the ordinary labour market. These individuals often face challenges beyond unemployment such as ADHD or substance abuse. The other employees find satisfaction in being able to help these colleagues achieve a stable life through their employment.SAMSON AGRO SASU, among others, uses an institution in Landivisiau Municipality, “Union des Industries et Métiers de la Métallurgie”, which provides employment and educational support to individuals outside the ordinary labour market. These individuals come in on a weekly basis to maintain all outdoor areas and carry out other ad hoc tasks.SAMSON GROUP wants to create a sense of security for its employees and therefore only uses temporary employment if there is a justified reason. Temporary employment is therefore used exclusively for apprentices, trainees, temporary workers and seasonal workers.The assessment is that SAMSON GROUP’s activities have contributed positively to maintaining good social and staﬀ conditions in 2024-2025. However, there are also challenges that need to be addressed going forward to reduce employee turnover.The Group has no policy concerning forced labour or child labour. Child labour as well as forced and involuntary labour are not tolerated in any form by SAMSON GROUP A/S or its suppliers, who are expected to comply with child labour legislation and may only employ workers who meet the minimum age requirement applicable in the country in which they operate. If SAMSON becomes aware that suppliers do not comply, collaboration will be terminated as a general rule. In order to eliminate discrimination in workplace and employment conditions, it is part of the HR strategy to ensure consistent conditions and processes, where possible, while respecting the legislation of each individual country. Additionally, the implementation of EU directives is monitored, including the Working Conditions Directive. On  initial  recognition, development  projects  are  measured  at  cost. Costcomprises the purchase price plus expenses resulting directly from the purchase, including wages andsalaries directly attributable  to  the  development  projects until  the  asset  is  ready  for use. Interest onloans arranged to finance development projects in the development period is not included in the cost.Other  development  projects  and  development  costs are  recognised  in  the  income  statement  in  theyear in which they are incurred.Development projects in progress are transferred to completed development projects when the asset isready for use. The value in use isdetermined  as  the  present  value  of  expected  net  cash  flows  from  the  use  of  the  asset  or  group  ofassets as well as expected net cash flows from the sale of the asset or group of assets after the expiryof their useful lives.Impairment  losses  are  reversed  when  the  reasons  for  the  impairment  no  longer  exist. The  degree  of  completion  for  each  piece  ofwork  in  progress  is  normally  calculated  as  the  ratio  between  the  resources  spent  and  the  totalbudgeted resource consumption. For some work in progress where the resource consumption cannotbe used as a basis, the ratio between completed subactivities and the combined subactivities for theindividual piece of work in progress is used instead.When the selling price of a piece of work in progress cannot be determined reliably, the selling price ismeasured at the lower of costs incurred and net realisable value.The individual piece of  work  in  progress is recognised under receivables  or payables  in the  balancesheet depending on whether the net value of the selling price less prepayments received is positive ornegative.When it is likely that the total costs of the individual piece of work in progress will exceed total salesincome, the total expected loss is recognised as a provision.PrepaymentsPrepayments  recognised  under  assets  comprise  costs  incurred  in  respect  of  subsequent  financialyears.CashCash includes deposits in bank accounts as well as operating cash.EquityThe proposed dividend for the financial year is recognised as a separate item in equity.The net revaluation of equity investments measured according to the equity method is recognized inthe financial statements of the parent in the net revaluation reserve in equity according to the equitymethod to the extent that the carrying amount exceeds the cost. Dividends from subsidiaries whichare  adopted  before  adoption  of  the  annual  report  for  SAMSON  GROUP  A/S  are  not  tied  up  in  therevaluation reserve (simultaneous principle).An amount equivalent to internally generated development costs in the balance sheet is recognised inthe financial statements of  the  parent in equity under  reserve for development costs. The reserve ismeasured  less  deferred  tax  and  reduced  by  amortisation  and  impairment losses  on  the  asset.  Ifimpairment losses on development costs are subsequently reversed, the reserve will be restored witha  corresponding  amount.  The  reserve  is  dissolved  when  the  development  costs  are  no  longerrecognized in the balance sheet, and the remaining amount will be transferred to retained earnings.Unrealised foreign currency gains and losses from the translation of the net investment in independentforeign entities are recognised in equity under the foreign currency translation reserve. The reserve isdissolved when the independent foreign entities are disposed of.ProvisionsOther  provisions  comprise  expected  expenses  incidental  to warranty  commitments, loss  on  work  inprogress, restructuring  etc.  and  are  recognised  when  the  company has  a  legal  or  constructiveobligation at the balance sheet date and it is probable that such obligation will draw on the financialresources of the company. Provisions are measured at net realisable value or fair value if the provisionis expected to be settled over the longer term.Warranty commitments comprise the obligation to repair defective work within the warranty period of1-5  years.  Warranty  commitments  are  measured  at  net  realisable  value  and  recognised  based  onprevious years’ experience with warranty work. Current and deferred taxCurrent tax payable and receivable is recognised in the balance sheet as tax computed on the basis ofthe taxable income for the year, adjusted for tax paid on account.Joint taxation contributions payable and receivable are recognised as income tax under receivables orpayables in the balance sheet.Deferred tax liabilities and tax assets are recognised on the basis of all temporary differences betweenthe carrying amounts and tax bases of assets and liabilities. However, deferred tax is not recognisedon  temporary  differences relating  to  goodwill  which  is  non-amortisable for  tax  purposes  and  otheritems  where temporary  differences,  except  for  acquisitions,  have  arisen  at  the  date  of  acquisitionwithout affecting the net profit or loss for the year or the taxable income. In cases where the tax valuecan  be  determined  according  to  different  taxation  rules,  deferred tax  is  measured  on  the  basis  ofmanagement’s intended use of the asset or settlement of the liability.Deferred tax assets are recognised, following an assessment, at the expected realisable value throughoffsetting against deferred tax liabilities within the same tax jurisdiction or elimination in tax on futureearnings.Deferred tax is measured on the basis of the tax rules and at the tax rates  in the respective countrieswhich,  according  to  the  legislation in  force  at  the  balance  sheet  date,  will  be applicable  when  thedeferred tax is expected to crystallise as current tax.PayablesWith subordinate loan capital, the creditor has subordinated its claim to those of all other creditors ofthe company.Long-term  payables  are  measured  at  cost  at  the  time  of  contracting  such  liabilities  (raising  of  theloan).  The  payables  are  subsequently  measured  at  amortised  cost  where  capital  losses  and  loanexpenses are recognised in the income statement as a financial expense over the term of the payableon the basis of the calculated effective interest rate in force at the time of contracting the liability.Short-term financial payables are measured at amortised cost, normally corresponding to the nominalvalue of such payables. Other short-term payables are measured at net realisable value. Prepayments received from customersPrepayments received from  customers  comprise  amounts  received from customers prior  to  the timeand date of delivery of the agreed product or completion of the agreed service.Deferred incomeDeferred  income  under  liabilities  comprises  payments  received  in  respect  of  income  in  subsequentfinancial years.CASH FLOW STATEMENTThe cash  flow statement  is prepared using the indirect method, showing cash flows from operating,investing and  financing activities  as well  as cash  and cash equivalents at the beginning and end ofthe year.Cash flows from operating activities comprise the net profit or loss for the year, adjusted for non-cashoperating items, income tax paid and changes in working capital.Cash  flows  from  investing  activities  comprise  payments  in  connection  with  the  acquisition  anddivestment of companies and financial assets as well as the purchase, development, improvement andsale of intangible assets and property, plant and equipment.Cash  flows  from  financing activities  comprise  changes  in  the  parent’s  share  capital  and  associatedcosts and financing  from  and dividends  paid to shareholders as well as the arrangement and  repay-ment  of  long-term  payables.  Cash  flows  from  financing  activities  also  comprise  finance  leasepayments.Cash and cash equivalents at the beginning and end of the year comprise cash.Referring to section 86(4) of the Danish Financial Statements Act a cash flow statement has not beenprepared for the parent as the parent is included in the consolidated cash flow statement.</fsa:DisclosureOfAccountingPolicies>
